HGT Law Commences Derivative Lawsuit On Behalf Of Metropolis Master Association

On December 3, 2025, HGT Law filed a derivative lawsuit (“Lawsuit”) on behalf of the residents of the Metropolis, a multi-phase, mixed-use master planned community located on a full city block in downtown Los Angeles. The lawsuit is brought against various directors of the board of the Metropolis Master Association (“Master HOA”), as well as the management company of Master HOA, FirstService Residential California LLC (“FirstService,” and collectively “Defendants”). The Lawsuit asserts claims for breaches of fiduciary duty arising from the failure to collect assessments on developer-owned units within the Metropolis project in downtown Los Angeles, and from the conduct of unlawful elections that have disenfranchised the unit owners of the Metropolis project.

On October 27, 2023, the Superior Court of California, County of San Francisco, issued an order granting final approval of a $17.85 million settlement of the FEI/TRIBE tokens securities class action (“Settlement”) commenced by HGT Law, alleging that Defendants Fei Labs, Inc., Joseph Santoro, Brianna Montgomery and Sebastian Delgado failed to comply with the registration requirements of the Securities Act of 1933 in conducting the sale of FEI and TRIBE tokens through the Fei Protocol during the Genesis Event.
